In conjunction with the Company's application for listing on the OTC-BB, We can assist your Company in the preparation and filing of a Form 10-SB under the Securities and Exchange Act of 1934, as amended, to become a “fully-reporting” company with the SEC. The Form 10-SB, once approved by the SEC, federally registers the securities previously sold through a Regulation D Rule 504 limited public offering “LPO”. After the Form 10-SB has been filed, the SEC normally has several questions –– in the form of formal comment letters –– in regards to the information contained in the Company's registration statement. Our firm provides consulting services to assist the Company to respond to these letters.

The OTC-BB now requires that a company be fully reporting (i.e., file 10-K's and 10-Q's with the SEC) before it can be listed on the OTC-BB, however, this is not required should the Company decide to become a Pink Sheet company.
